Financial Reports
Shutterfly makes annual, quarterly and interim financial reports available to certain holders and prospective investors in its debt securities, as well as securities analysts and market makers, in accordance with the terms of the applicable debt agreements. Access to these reports is provided through Shutterfly’s secure website and is subject to qualification and the execution of a “Request for Access to Financial Information” form. Any person granted access is required to maintain the confidentiality of the reports and the information contained therein, use such information solely in connection with their investment or potential investment in Shutterfly’s debt securities, and not publicly disclose such reports or information.
Quarterly Conference Calls
Shutterfly will host a quarterly teleconference call for holders of the notes, prospective investors of the notes, securities analysts and market makers within 10 business days after the quarterly and annual reports are posted to the secure web site in accordance with the terms of the indentures governing the notes (commencing with the annual report for the fiscal year ending December 31, 2019). Prior to the quarterly call, Shutterfly will announce the date and time of the call and direct holders of the notes, prospective investors of the notes, securities analysts and market makers to contact the company to gain access to the secure web site, which will contain details on how to access the call.

For holders of the notes, prospective investors of the notes, securities analysts and market makers who would like to access the secure web site but have not yet been qualified by Shutterfly, please email your request to the contact below who will send you a “Request for Access to Financial Information” form. Upon qualification, you will be sent an email with the login instructions.
